Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the SportsDaddy website and service (the “Service”), operated by Vexial LLC (“SportsDaddy,” “we,” “us,” or “our”). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

SportsDaddy provides player-prop research tools, matchup analytics, live odds aggregation, and historical statistics for NBA, MLB, and NFL, intended to help users research sports betting props. SportsDaddy is a data and analytics product only. SportsDaddy is not a sportsbook, does not accept, place, or facilitate wagers, does not hold or transmit funds related to gambling, and is not licensed as a gambling operator in any jurisdiction.

SportsDaddy is not affiliated with, sponsored by, or endorsed by any sportsbook, league, or team referenced on the Service, including but not limited to DraftKings, FanDuel, BetMGM, Caesars Sportsbook, BetRivers, Fanatics Sportsbook, BetWay, Bally Bet, and BetParx. All sportsbook names and logos are the property of their respective owners and are referenced solely for informational and comparison purposes.

The Service may include links or referrals to third-party sportsbooks. Where such arrangements exist, SportsDaddy may receive referral fees, commissions, or other compensation when you sign up for or use a linked sportsbook. Any such compensation does not influence the accuracy of our statistics or analysis, and the presence or absence of a referral relationship with a given sportsbook does not indicate any endorsement, ranking, or recommendation of that sportsbook over another.

3. Not Financial, Betting, or Professional Advice — Entertainment Purposes Only

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY.

Nothing on the Service constitutes financial, investment, gambling, or professional advice of any kind, and nothing should be construed as a recommendation to place any wager or engage in any specific betting activity. All statistics, matchup ratings, hit-rate histories, odds, and other content are provided “as is” for research and entertainment purposes, and should not be relied upon as the sole basis for any decision involving money or wagering.

You are solely responsible for any decisions you make and any actions you take based on information provided through the Service, including any bets, wagers, or financial commitments. SportsDaddy holds no legal responsibility, and shall not be liable, for how you use or act upon any information, data, statistic, rating, or analysis provided through the Service, including any losses — financial or otherwise — resulting from your use of that information. Sports betting involves risk, including the risk of losing money, and past performance or historical trends do not guarantee future results.

The Service does not guarantee any level of betting success. No statistic, rating, or analysis offered through the Service is a promise or guarantee of profit, and you should only wager amounts you can afford to lose.

4. Eligibility and Responsible Gambling

You must be at least 18 years old to create an account or use the Service. Many U.S. states set a higher minimum age — commonly 21 — to engage in sports wagering or to use products connected to sports wagering. You are solely responsible for knowing and complying with the minimum age and eligibility requirements that apply in your state or jurisdiction of residence, and by using the Service you represent that you meet those requirements. If you do not meet the minimum age required in your jurisdiction, you may not use the Service in connection with any wagering activity.

The Service is intended for use within the United States by individuals located in jurisdictions where an informational, non-wagering product of this kind is lawful. You represent that you are not accessing the Service from a jurisdiction where doing so would violate local law, and SportsDaddy reserves the right to restrict or deny access to the Service from any jurisdiction at its discretion.

If you choose to bet with a third-party sportsbook, you are solely responsible for complying with the gambling laws, licensing requirements, and age requirements of your jurisdiction. SportsDaddy does not verify your age, identity, or location, and does not verify your eligibility to hold a sportsbook account; that responsibility rests with you and, where applicable, with the sportsbook operator.

5. Accounts and Subscriptions

a. Account Registration

You must provide accurate and complete information when creating an account and are responsible for maintaining the confidentiality of your login credentials.

b. Subscriptions and Free Trial

The Service is offered on a single-tier monthly subscription, currently priced at $14.99 per month. No annual subscription option is offered at this time, though that may change in the future. From time to time, SportsDaddy may offer new or returning subscribers a promotional or discounted subscription rate — for example, an initial promotional rate of $4.99 per month, followed by a second promotional rate of $9.99 per month — as reflected at signup or in the applicable promotional offer. If you maintain your subscription without cancelling, you will continue to be billed at the promotional rate you were offered for as long as your subscription remains active. If you cancel your subscription at any time, any promotional rate you held will not be reinstated, and you will need to resubscribe at the standard subscription price then in effect (currently $14.99 per month) to regain access to the Service. New subscribers may also be offered a free trial period; unless stated otherwise at signup, starting a free trial does not require a payment method. If a payment method is required to start a trial, then unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription at the price displayed at signup, and you authorize us (or our payment processor) to charge that payment method on a recurring basis until you cancel.

c. Cancellation

You may cancel your subscription at any time through your account settings, effective at the end of the current billing period. We do not provide refunds for partial billing periods except as required by law.

d. Price Changes

We may change subscription pricing with advance notice; continued use after a price change takes effect constitutes acceptance of the new price.

e. Account Sharing and Security

Your account is for your individual use only and may not be shared with or used by anyone else. You agree to keep your login credentials confidential, to avoid reusing a password from another service, and to notify us promptly at support@vexial.dev if you suspect any unauthorized use of your account. You are responsible for all activity that occurs under your account, whether or not authorized by you.

6. Acceptable Use

You agree not to: (a) scrape, crawl, deep-link, page-scrape, or use any bot, spider, or other automated means to access, copy, or monitor any part of the Service, or reverse-engineer, decompile, or disassemble any portion of the Service, in each case without our prior written permission; (b) resell, sublicense, or redistribute data or content obtained from the Service; (c) use the Service for any unlawful purpose, including underage or otherwise unauthorized gambling; (d) probe, scan, or test the vulnerability of the Service, or attempt to breach any security or authentication measure; (e) interfere with or disrupt the Service's operation, including by transmitting viruses or other harmful code, or by imposing an unreasonable load on our infrastructure; (f) frame, mirror, or use metatags or hidden text that imply an affiliation with SportsDaddy without our consent; or (g) misrepresent your identity, impersonate any person or entity, or share your account with others.

7. Intellectual Property

All content, design, software, and analytics methodology on the Service (excluding third-party sportsbook and league trademarks) are owned by SportsDaddy and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.

8. Feedback

If you send us feedback, suggestions, ideas, or other comments about the Service, you agree that we may use them for any purpose, including to improve or modify the Service, without any obligation to compensate or attribute you. Feedback does not include your personal information, which is handled in accordance with our Privacy Policy.

9. Your Data and Our License to Use It

Subject to our Privacy Policy, you grant SportsDaddy a non-exclusive, worldwide, royalty-free license to use, store, and process the data you provide or generate through your use of the Service as reasonably necessary to operate, maintain, and improve the Service. This includes the right to compile, aggregate, and anonymize usage and performance data to create statistical insights and analytics products. SportsDaddy owns all aggregated or anonymized data and analysis it creates, provided that such aggregated data does not identify you individually.

10. Third-Party Data, Links, and Affiliate Relationships

The Service aggregates odds and statistics from third-party sportsbooks and sports-data providers, and may contain links to third-party websites, including sportsbooks. We do our best to keep this data accurate and current, but we do not guarantee its accuracy, completeness, or timeliness, and we are not responsible for errors or omissions in third-party data, or for the content, policies, or practices of any third-party sportsbook or website linked from the Service. Access to third-party content does not constitute an endorsement by SportsDaddy. As described in Section 2, SportsDaddy may receive compensation from sportsbooks or other third parties referenced on the Service.

11. Copyright Complaints (DMCA)

If you believe content on the Service infringes your copyright, you may send a notice to our copyright agent that includes: (a) a physical or electronic signature of the copyright owner or authorized representative; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (d) your contact information; (e) a statement of your good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the notice is accurate and that you are authorized to act on the copyright owner's behalf.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY STATISTIC, RATING, OR PIECE OF DATA IS ACCURATE OR COMPLETE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPORTSDADDY AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, WAGERING LOSSES, OR DATA, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SPORTSDADDY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO SPORTSDADDY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold SportsDaddy harmless from any claims, losses, or damages, including reasonable attorneys' fees, arising from your use of the Service, your violation of these Terms, or any wager or financial decision you make based on information from the Service.

15. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to the Service or other users. You may terminate your account at any time by cancelling your subscription and discontinuing use of the Service.

16. Governing Law, Arbitration, and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.

Agreement to Arbitrate

You and SportsDaddy agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court, or seek injunctive relief in court to protect its intellectual property rights. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. Before starting arbitration, you agree to first contact us at support@vexial.dev and attempt in good faith to resolve the dispute informally for at least 30 days.

Right to Opt Out of Arbitration

You may opt out of this arbitration agreement entirely. To do so, send written notice to support@vexial.dev within 30 days of the date you first agree to these Terms, including your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration (for example: “I opt out of the arbitration agreement in the SportsDaddy Terms of Service”). If you opt out, neither you nor SportsDaddy will be required to arbitrate disputes with each other, and either party may bring claims in court as otherwise permitted by these Terms. Opting out of arbitration does not affect any other part of these Terms, including the Class Action Waiver below, which applies to the fullest extent permitted by law regardless of whether a dispute is arbitrated or litigated.

Class Action Waiver

You and SportsDaddy agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action. Neither party may bring a claim as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Venue

For any dispute not subject to arbitration, you consent to the exclusive jurisdiction of the state or federal courts located in Bay County, Florida.

17. Time Limit on Claims

Any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred.

18. Mobile Application Terms

SportsDaddy does not currently offer a native mobile application. This section is included so that it takes effect automatically, without requiring a separate update to these Terms, if and when SportsDaddy releases one.

If SportsDaddy makes a mobile application available for download, we grant you a limited, non-exclusive, non-transferable license to install and use the application on a device you own or control, solely for your personal use, and subject to the usage rules of the app store from which it was downloaded (e.g., the Apple App Store). If you obtain the application through the Apple App Store, you acknowledge that: (a) these Terms are an agreement between you and SportsDaddy only, not Apple; (b) Apple has no obligation to provide maintenance or support for the application; (c) Apple is not responsible for any product claims, including warranty claims, related to the application; and (d) Apple, and its subsidiaries, are third-party beneficiaries of this section and may enforce it against you.

19. SMS/Text Message Marketing

SportsDaddy does not currently operate an SMS marketing program. This section is included so that it takes effect automatically, without requiring a separate update to these Terms, if and when SportsDaddy introduces one.

By opting into SMS communications from SportsDaddy, you consent to receive recurring text messages, including marketing offers and account-related notifications, at the mobile number you provide. Message frequency varies. Message and data rates may apply. Consent to receive marketing texts is not a condition of purchase. You may opt out at any time by replying STOP, or contact us at support@vexial.dev for help.

20. Force Majeure

SportsDaddy will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, riot, civil unrest, labor disputes, governmental action, internet or utility failures, or outages or failures of third-party sportsbook, sports-data, hosting, or payment infrastructure that the Service relies on to operate.

21. Notices

We may provide notices to you by email to the address associated with your account, or by posting a notice on the Service. You may send legal notices to us at support@vexial.dev.

22. Miscellaneous

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and SportsDaddy regarding the Service and supersede any prior agreements or understandings. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

23. Changes to These Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the “Last Updated” date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
